Public Hearing and Consideration of a Second Amendment to a Five-Year License Agreement dated July 1, 2024, between the City of Alexandria Virginia and Zayo Group, LLC. to Permit Zayo to Install Two Conduit and Fiber Optic Builds of approximately 2,854 linear feet located at 2401 Mill Rd. in the City of Alexandria’s Public Rights-of-Ways.

ISSUE: Consideration of an amendment to the License Agreement with Zayo Group LLC to permit Zayo to install two conduit and fiber optic builds of approximately 2,854 linear feet located at 2401 Mill Rd. in the City’s public rights-of-way.
RECOMMENDATION: That City Council set this matter for a public hearing on July 1, 2026, and after hearing public testimony approve the attached amendment to the license agreement with Zayo, and authorize the City manager to execute the amendment and to take any other actions that are necessary to implement the amendment.
BACKGROUND: On July 1, 2024, the City entered into a five-year agreement with Zayo. This agreement replaced a prior agreement which expired in November 2023. Zayo has extensive builds throughout the City. One build runs from Four Mile run to Commonwealth Avenue to Eisenhower Avenue and Edsall Road. It also has a network along King and Beauregard Streets in Mark Center. In addition, Zayo has an installation at the Carlyle development including Courthouse Square. A prior Amendment of this License Agreement in November 2024 added additional fiber builds.
DISCUSSION: The present amendment will add the following installations by Zayo in the following locations: (1) Zayo shall place one 4" HDPE w/ 3 x 1.25" innerduct and one 72 count fiber cable 41 feet between Zayo's HH and Verizon's MH at the southwest intersection of Mill Rd. and Telegraph Rd. (2) Zayo shall place one 72 count fiber cable 2854 feet through Verizon Conduits from Verizon's MH at the southwest intersection of Mill Rd. and Telegraph Rd. to 2401 Mill Rd. The other essential terms of the existing License, as set out below, remain in effect and unchanged.
The essential aspects of the Agreement are as follows: The term of five years extends until March 31, 2029, and is not renewable. As compensation for use of the public rights-of-way the City receives the statutory right-of-way fee imposed under Virginia Code § 56.468.1 and City Code § 5-2-160, et seq. The agreement requires Zayo to submit an Annual Operations Plan to the department of Transportation & Environmental Services (T&ES) for each of the five years covered by the agreement. The operations plan requires Zayo to describe all the activities to install the conduit and to pull cable that Zayo intends to undertake in the public rights-of-way during the twelve month period covered by the plan, the sites where any activity in the public rights-of-way will occur and a tentative timetable. The director of T&ES must review the plan and determine whether the public rights-of-way upon which the construction is planned are appropriate sites for the proposed activity.
FISCAL IMPACT: The proposed Amendment would add approximately 2,854 linear feet to Zayo’s license in the public rights-of-way. The City will be compensated in the form of fees which are statutorily set and standardized under Virginia Code § 56.468.1 and City Code § 5-2-160, et seq., at $3.50 per annum per linear foot. The annual compensation to the City for the additional license area is approximately $9,989.00.
